Terms of Service

Agreement
These Terms of Service ("Terms") govern your use of the moderngrindtech.com website and any services provided by Modern Grind Technology ("MGT," "we," "us," or "our"). By accessing the site or engaging MGT for services, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use this site or engage our services.
Services Provided
Modern Grind Technology provides custom software development, technical consulting, and related services. Specific service offerings may include but are not limited to:
- Custom Software DevelopmentFull-stack web applications, SaaS platforms, internal tooling, and API integrations built to your specifications.
- Technical ConsultingArchitecture reviews, technology selection, AI integration strategy, and development process advisory.
- Workshops and TrainingLive and recorded sessions on AI-assisted development, modern web tooling, and shipping production software.
The scope, deliverables, timeline, and pricing for any engagement are defined in a separate project agreement or statement of work ("SOW") agreed upon in writing prior to the start of work. In the event of a conflict between these Terms and a signed SOW, the SOW takes precedence.
Payment Terms
All project engagements are structured on a project basis unless otherwise agreed in writing. Standard payment structure is milestone-based:
A deposit — typically 50% of the total project fee — is required before work begins. Remaining milestone payments are due upon completion of the agreed deliverable milestones as defined in the project SOW. Final payment is due before delivery of final deliverables or deployment to production.
Invoices are due within 14 days of issuance unless otherwise specified in the SOW. Late payments may be subject to a 1.5% monthly interest charge. MGT reserves the right to pause or suspend active work on projects with overdue invoices.
All fees are quoted and billed in USD. Taxes, if applicable, are the responsibility of the client.
Intellectual Property
Upon receipt of full payment, the client owns all custom code, designs, and written deliverables created specifically for their project. This transfer of ownership applies to the work product as defined in the SOW.
MGT retains ownership of all underlying frameworks, libraries, boilerplate code, development tools, processes, and methodologies that are used in the delivery of services but are not custom-built for the client. This includes internal tooling, agent configurations, and any pre-existing code components incorporated into the project.
Open-source components incorporated into client projects remain subject to their respective open-source licenses. MGT will disclose any material open-source dependencies as part of the project documentation.
MGT reserves the right to reference completed client projects in its portfolio, case studies, and marketing materials unless the client requests otherwise in writing prior to project completion.
Client Responsibilities
Clients are responsible for providing timely feedback, required access credentials, content, and any other materials necessary for the project to proceed. Delays caused by the client's failure to provide required inputs may result in timeline adjustments and additional fees.
Clients warrant that they have the right to use any materials, content, or intellectual property they provide to MGT for incorporation into the project.
Revisions and Scope Changes
Reasonable revisions within the agreed project scope are included in the project fee. Changes that materially expand the scope — including new features, integrations, or pages not included in the original SOW — are considered change orders and will be quoted and billed separately.
MGT will communicate scope changes proactively and will not begin out-of-scope work without written approval from the client.
Confidentiality
Both parties agree to keep confidential any non-public information shared during the course of the engagement. MGT will not disclose client business information, project details, or proprietary data to third parties without the client's prior written consent.
This obligation does not apply to information that is publicly available, already known to MGT prior to the engagement, or required to be disclosed by law.
Limitation of Liability
To the maximum extent permitted by applicable law, MGT's total liability for any claims arising from or related to these Terms or any project engagement shall not exceed the total fees paid by the client for the specific project giving rise to the claim.
MGT shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.
MGT makes no guarantees regarding specific business outcomes, revenue targets, or performance metrics resulting from delivered software. Software is delivered in a functional state as defined in the SOW; results depend on factors outside MGT's control.
Termination
Either party may terminate a project engagement with 14 days written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. MGT will deliver all completed work product to the client upon receipt of outstanding payment.
MGT reserves the right to terminate an engagement immediately if a client engages in abusive conduct, requests unlawful activities, or fails to cure a payment default within 7 days of written notice.
Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Virginia, and both parties consent to exclusive jurisdiction there.
Changes to These Terms
We may update these Terms periodically. The "Last updated" date at the top of this page reflects any revisions. Continued use of the site after an update constitutes acceptance of the revised Terms. Changes do not apply retroactively to active project agreements already in force.
